Business Terms: if you are a commercial business customer, these terms and conditions (“Business Terms”) govern your agreement with us for the use of our Courseware and subscription model, as well as the manner in which you can utilize our Courseware. These Business Terms should be read alongside the Glorious Learning Hub Order Form, Glorious Learning Hub Terms and Conditions, and Privacy Policy, collectively referred to as the “Governing Terms.”

Please note that these Business Terms may be subject to updates periodically.

In these Business Terms, the terms “Glorious Learning Hub,” “Company,” “us,” “our,” or “we” refer to our organization.

The terms “Customer,” “You,” or “Your” pertain to a customer who has been named and has signed the Order Form (defined below).

Both the Company and the Customer may be collectively referred to as the “Parties,” or individually as the “Party.”

By using our Courseware and subscribing to our services, you agree to be bound by these Business Terms. By accepting these Business Terms, you acknowledge that you have read, understood, and agreed to the terms set forth herein.

The capitalized terms used in these Business Terms but not defined herein shall have the same meaning as defined in our Terms and Conditions or other applicable Governing Terms.

In case of any inconsistencies between these Business Terms and other general Governing Terms, these specific Business Terms shall prevail.

DEFINITIONS For the purpose of these Business Terms, the following definitions apply:

“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity. “Control,” in this context, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.

“Courseware” refers to the E-Learning Course(s), Live Virtual Classroom(s), Custom Course(s), and other training services offered, as well as the associated Documentation or Work Product, regardless of delivery method.

“Custom Course(s)” includes lectures, videos, content, courseware, practice tests, articles, and other information or data created at your request under the terms described in these Business Terms and any individual Statement of Work attached hereto.

“Delivery” of the Courseware occurs when you receive e-mail notification that the applicable Courseware is accessible online.

“Documentation” refers to explanatory materials provided by us in printed, electronic, or online form relating to the Subscription License.

“E-Learning Course(s)” includes self-paced lectures, videos, content, courseware, practice tests, articles, and other information or data accessed through the LMS or an internal delivery method provided by you.

“Live Virtual Classroom(s)” encompasses real-time lectures and instructional content delivered by an instructor, along with associated videos, content, courseware, practice tests, articles, and other information or data, accessed through the LMS or an internal delivery method provided by you.

“Malware” includes applications, executable code, or malicious content that is considered harmful, such as viruses, worms, time bombs, and Trojan horses, as deemed by us.

“Order Form” is the mutually signed ordering document specifying the Courseware to be provided, delivery method, associated fees, and other terms.

An Order Form becomes binding when:

(a) you sign and return the filled Order Form to us; (b) We begin Delivery of Courseware under the terms and conditions mentioned in the Order Form; (c) you acknowledge the Order Form via email, facsimile, or any other commercially reasonable means; or (d) your failure to communicate acceptance of the Order Form within seven (7) days from the date of receipt of the Order Form is considered deemed acceptance. If we commence Delivery of Courseware to you without a duly signed and acknowledged Order Form, and you accept such Delivery, then the Order Form will be deemed effective from the date of Delivery and will apply to both you and the Company. These Business Terms govern each Order Form issued under them, and in case of any conflict with the terms of any Order Form, the Order Form will prevail. Both you and the Company must sign an Order Form for it to be effective and binding.

“Personal Data” refers to data about or related to a natural person who is directly or indirectly identifiable, whether online or offline.

“Pilot” means a paid trial of the Subscription License conducted with a subset of your potential user base to determine whether the Subscription License will be utilized on a larger scale.

“Sensitive Personal Data or Information” pertains to personal data that may reveal financial data, health data, official identifiers, sexual orientation, religious or political beliefs, or any other data categorized as sensitive personal data by the Central Government, as provided under the Personal Data Protection Bill, 2019.

“Site” or “LMS” refers to the Learning Management System (LMS) website(s) and mobile applications used by us to provide the Subscription License, including its online database of content, courseware, practice tests, articles, and other information or data.

“Subscription License” represents the Courseware offered by us and agreed upon in a valid Order Form. Access to the Courseware under the Subscription License may be delivered via Glorious Learning Hub’s LMS (“Content as a Service” or “CaaS”).

“Term” denotes the time period during which you have the right to receive the Subscription License as specified in an Order Form.

“User(s)” refers to the individual(s) authorized by you to use the Subscription License. Only one authorized individual may use a User account at any given time.

“Work Product” comprises any written materials, reports, deliverables, work performed, and related Documentation created, developed, or delivered by us as a result of any Subscription License provided under these Business Terms, including the creation of any Custom Course, along with all ownership rights to any innovations, inventions, or developments.

You agree to provide us with a certificate in Form 16A, or any other form as prescribed, for any tax withheld by you on payments to us within the due date prescribed under the applicable provisions of the Income-Tax Act, 1961. If we have a legal obligation to pay or collect Taxes for and/or on behalf of you, which you are responsible to pay under sub-clause 7E of the Income-Tax Act, 1961, then we will invoice you for that amount unless you provide us with a valid tax exemption certificate authorized by the appropriate taxing authority. We will make our best efforts to provide the customer with any necessary tax documentation to process the payment.

Overdue Charges: If any invoiced amount is not received by us by the mentioned Payment Due Date, then, without limiting any rights or remedies, those charges may accrue late interest at the rate of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower, and/or we may condition future subscription renewals and Order Forms on payment terms shorter than those specified in Section 6B (Invoicing and Payment).

Suspension of Courseware and Acceleration: If any amount owed by you under these Business Terms or any other agreement for Courseware is ten (10) or more days overdue, we may, without limiting any other rights and remedies, accelerate your unpaid fee obligations under such agreements so that all such obligations become immediately due and payable, and suspend the Subscription License to you until such overdue amounts are paid in full.

Payment Disputes: We will not exercise our rights under Section 6D (Overdue Charges) or 6E (Suspension of Courseware and Acceleration) above if you are reasonably and in good faith disputing the applicable charges and cooperating diligently to resolve the dispute. You agree to provide us with the requisite documents required to assist the company in applying appropriate taxes on the invoices raised by the company.

Audit Rights: During the applicability of these Business Terms to you and for two (2) years thereafter, you shall permit us, or our duly authorized representatives, on reasonable prior notice, to inspect and/or audit your systems, as well as access any of your accounts (including User accounts) for the Courseware with respect to any matters that relate to: (A) the number of Users with access to the Courseware, or (B) your compliance with your obligations under these Business Terms. If the audit identifies that you are using a greater number of User accounts than the amount and type you had ordered and paid for, or if you are having multiple individuals share User accounts, then you shall be liable for and pay as liquidated damages an amount based on the Company’s then current list prices.

Suspension: We may suspend the Subscription License if we deem it necessary to prevent or terminate any Prohibited Use or upon notice to you if: (i) you commit a material breach of these Business Terms; or (ii) if we receive credible notice from a third party or agency that you are in material breach of these Business Terms.

Modification of Courseware; Service Interruption: If any Courseware published or provided relates to technology that has since become obsolete or is discovered to have incomplete or inaccurate information, we may, at any time, eliminate such Courseware from the Site and Subscription License. If during the term of these Business Terms, we publish new training content that augments or supersedes existing content, we may eliminate the previously existing training or superseded Courseware.

Confidentiality: “Confidential Information” means the proprietary and valuable information of the Customer or the Company, which the Parties desire to protect against disclosure or competitive use. Each Party will exercise the same degree of care and protection for the Confidential Information of the other Party that it exercises with its own Confidential Information. The Receiving Party may not directly or indirectly disclose, copy, distribute, republish, sell, license, or otherwise allow any third party access to such Confidential Information.

Security & Privacy: We reserve the right to use and store Customer’s traffic and user log data to maintain or improve the Courseware. Some information may be shared with third parties, provided that identifying information is kept confidential. We may use cookies to store user session information, access codes, and application settings to ease site navigation processes. You hereby grant us a limited, non-exclusive, royalty-free license to access the customer data to provide services.

Compliance with Data Protection Regulations: Each Party hereby represents and warrants that it will comply fully with all applicable data protection and privacy laws. Each Party shall be responsible and liable to comply fully with all relevant and applicable data protection and privacy laws. Intellectual Property: You acknowledge that you are acquiring only a license to use the Courseware and/or Site and that all title and interest, including all patents and copyrights, in the Courseware and Site are the sole and exclusive property of the Company or its licensors. You agree that you will take no action inconsistent with our Intellectual Property rights. Limited Warranty, Remedies, and

Disclaimer: We warrant that the Courseware will substantially conform with these Business Terms for a period of ninety (90) days from the date of Delivery. The sole and exclusive remedy for any claim for breach of warranty shall be to correct any substantial failure of the Courseware to perform as warranted or to replace the Courseware with an update. The Courseware and Site are provided “as is” to the fullest extent permitted by law.

Exclusion of Consequential and Related Damages: Neither Party shall be liable for any indirect, consequential, exemplary, special, punitive, or incidental damages arising out of or related to these Business Terms. Limitation of Liability: In no case shall our aggregate liability for any matters arising out of the subject matter of these Business Terms exceed the amounts actually received by us under the applicable Order Form for the prior six (6) months immediately preceding the event giving rise to such liability.

Indemnification: You agree to indemnify, defend, and hold us harmless from all claims, liabilities, damages, fines, penalties, costs, and expenses arising out of or relating to any Prohibited Use or failure to obtain necessary consents from Users with respect to Users’ data. Waiver: Any waiver of rights under these Business Terms must be in writing. Failure to exercise or enforce any right under these Business Terms will not be deemed a waiver of that Party’s right nor bar the exercise or enforcement of it at any time thereafter.

Jurisdiction/Governing Law: Business Terms shall be governed by and construed in accordance with the Laws of India, and the courts in Noida, India, shall have exclusive jurisdiction.

Binding Effect and Assignment: These Business Terms shall be binding upon and inure to the benefit of the Parties and their respective successors-in-interest and permitted assigns. We retain the right to assign the Order Form (including its rights and obligations under these Business Terms) in our sole discretion. You may not assign your rights under the Order Form and these Business Terms without our prior written permission.

Export: You shall not export the Courseware without our written consent and shall comply with applicable export and import laws and regulations.

Force Majeure: We are not liable for delays, failures to perform, damages, losses, or destruction caused by forces beyond our reasonable control.

Relationship: The Parties governed by these Business Terms are independent contractors.

Press Release: We may issue a press release or make any public announcement relating to the subject matter of these Business Terms or about the business relationship of the Parties.

Travel and Lodging Expenses: If a trainer is required to travel out of the station to conduct training, you shall be responsible for reimbursing us for travel, lodging, and other reasonable expenses incurred.

Third Parties: No term of these Business Terms shall be enforceable by a person to whom these Business Terms do not apply.

Entire Business Terms and Severability: These Business Terms represent the entire agreement between the Parties and supersede any other communications or representations. If any provision of these Business Terms is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Anti-Corruption: Neither party has received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from an employee or agent of the other party in connection to the Order Form or as per these Business Terms.

Welcome to the  Data & AI Community Platform (“Platform”), a service operated by Glorious Insight Private Limited (“Glorious Learning Hub” or “Company” or “Us” or “Our” or “We”). Before using the Platform, please read and carefully understand the Skill-up Community Platform User Terms and Conditions (“Platform Terms and Conditions”). By accessing and using the Platform, you are deemed to have accepted and agreed to abide by all the Platform Terms and Conditions.

Additionally, along with these Platform Terms and Conditions, your use of the Platform is also subject to the gloriouslearninghub.online Terms and Conditions and/or Terms of Use and/or the Privacy Policy, as may be applicable. By using the gloriouslearninghub.online website or its corresponding mobile site, you also agree to these terms. In case of any inconsistencies between the gloriouslearninghub.online terms and the Platform User Terms and Conditions, the latter will prevail concerning your use of the Platform and its related services.

For the purposes of this Platform User Terms and Conditions:

  • “Applicable Law(s)” refer to all relevant statutes, laws, regulations, and directives, both governmental and international.

Conditions for Using the Platform:

  1. User Account Responsibilities: If you use the Platform, you are responsible for maintaining the confidentiality of your User account and password. Ensure that your computer access remains restricted to prevent unauthorized use of your User account. If you suspect any unauthorized access, promptly inform us. By using the Platform, you confirm that your User account information is accurate, and you fulfill the Minimum Age criteria. You agree to use your User account solely for educational purposes and not for any commercial or business purposes. Additionally, you should only publish Content that complies with Applicable Laws and does not infringe on third-party rights.
  2. Platform for Educational Purposes: The Platform serves as an online community platform for educational purposes, allowing Users to interact with each other. While using the Platform, be aware that we are not responsible for other Users’ conduct, and we do not endorse their Content unless under specific circumstances as required by government or regulatory authorities.
  3. Platform Access and Availability: We strive to ensure uninterrupted Platform availability, but internet connectivity limitations may affect this. We may occasionally suspend or restrict access for repairs, maintenance, or the introduction of new services without prior notice.
  4. License to Access the Platform: Subject to adherence to these Platform Terms and Conditions, we grant you a non-exclusive, limited, and revocable-at-will license to access and use the Platform solely for educational purposes and not for commercial use. This license does not permit downloading, modifying, or any commercial exploitation without our written consent. Unauthorized use may result in access termination.
  5. User Age Requirement: To use the Platform and its related services, you must be of the Minimum Age unless a higher age is required by Applicable Law. If you are a minor, you may use the Platform with the involvement and supervision of your parent or legal guardian.
  6.   7. User Conduct and Obligations: When using the Platform, you must not engage in activities that violate these Platform Terms and Conditions, including:
  • Scam, fraud, or deceive other Users.
  • Annoy, inconvenience, or harass other Users.
  • Develop or distribute malicious software that poses risks to Users and the Platform.
  • Violate others’ intellectual property rights or Glorious Learning Hub’s trademarks.
  • Interfere with the Platform’s security features or access controls.
  • Reveal or incite others to reveal personal or sensitive information.
  • Engage in phishing attempts or other unauthorized activities.

You are solely responsible for the Content you publish on the Platform. Ensure that your Content is accurate, lawful, and complies with Applicable Laws. By publishing Content, you grant us a license to use it, and you agree to indemnify us for any claims arising from your Content.

  1. Platform Publishing Guidelines: Follow these publishing guidelines for your Content:
  • Content should not be misleading, obscene, threatening, or discriminatory.
  • Do not promote violence or depict exploitation of children.
  • No nudity or sexual activity is allowed.
  • Content should not promote illegal goods or services or dangerous organizations.
  • Content should not attack or promote hatred against individuals or groups based on various factors.
  • Avoid false or misleading information in your Content.
  1. Disclaimer: You access and use the Platform at your own risk and discretion. We are not responsible for other Users’ actions or inactions on the Platform. We do not mediate disputes between Users. Always use the Platform for educational purposes only and not for commercial activities.

The Platform may contain content or information that could be inaccurate, incomplete, delayed, misleading, illegal, offensive, or otherwise harmful. In this regard, you acknowledge and agree that:

The Platform, as an intermediary under the Applicable Laws, is generally not responsible and is not obligated to examine or evaluate any User’s Content on the Platform. We do not review, warrant, or endorse any Content provided by other Users on the Platform. We assume no responsibility or liability for any User Content on the Platform or their use of the Platform and its related services.

The Platform, as an intermediary under the Applicable Laws, does not supervise, direct, control, or monitor Users’ usage of the Platform and its related services. We are not responsible for other Users’ Content or information on the Platform, and we do not endorse such Content in any manner.

While the Platform may conduct minimum due diligence with respect to the Content on the Platform as required and permitted by the Applicable Laws, we cannot always prevent misuse or abuse of the Platform and its related services by Users. We are not responsible for any such misuse by the Users.

  1. No Warranty and Exclusion of Liability:

GLORIOUS LEARNING HUB AND ITS AFFILIATES DISCLAIM ANY REPRESENTATION OR WARRANTY ABOUT THE PLATFORM AND ITS RELATED SERVICES, INCLUDING ANY IMPLIED WARRANTY OF UNINTERRUPTED OR ERROR-FREE OPERATION. THE PLATFORM AND ITS RELATED SERVICES, INCLUDING CONTENT AND INFORMATION, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GLORIOUS LEARNING HUB AND ITS AFFILIATES DISCLAIM ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING WARRANTIES OF TITLE, ACCURACY, NON-INFRINGEMENT, RELIABILITY, SUITABILITY, QUALITY, COMPLETENESS, TIMELINESS, PERFORMANCE, SAFETY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. The Platform may be affected by force majeure circumstances beyond our reasonable control, such as floods, natural disasters, wars, acts of terror, political unrests, technical issues, pandemics, epidemics, or any other circumstances beyond our control. We shall not be liable for any adverse effects or delays caused to Users as a result of such Force Majeure Events.

  1. Governing Law and Jurisdiction:

These Platform Terms and Conditions shall be governed by the laws of the Republic of India, and any disputes shall be exclusively subject to the jurisdiction of the courts at Bangalore.

  1. Changes:

We may modify the Platform Terms and Conditions and suspend or discontinue the Platform or any related services at our sole discretion. If there are material changes to the Platform Terms and Conditions, we will notify you accordingly. Your continued use of the Platform after being informed about such changes indicates your acceptance of the updated Terms and Conditions.

  1. Entire Agreement:

These Platform Terms and Conditions constitute the complete and exclusive agreement between you and us regarding the Platform and its related services, superseding all prior understandings and agreements, whether written or oral.

  1. Severability:

If any provision of these Platform Terms and Conditions is held invalid or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

  1. Assignment:

You may not assign your obligations under these Platform Terms and Conditions to any third party without our express prior consent. However, we may assign our obligations to our Affiliates or third parties in certain circumstances.

Fake or inaccurate profiles. If you find misleading information on another User’s Account, such as false claims of employment, education, accomplishments, or awards, you can report it to us.

Inappropriate conversations, comments, or spam within groups.

Phishing or suspicious messages (Scams). These could be messages with offers that seem too good to be true, containing spelling or grammar mistakes, or asking for personal or financial information.

Threats and abuse. If another User contacts you using threatening or abusive language on the Platform, you can report it to us and block that User.

Harassment. If another User is using hostile language or making you uncomfortable on the Platform, you can report it to us and block that User.

Other safety concerns. If you notice anything suspicious, offensive, or violating the Platform Terms and Conditions that makes you uncomfortable, you can report it to us.

Violation of Platform Terms and Conditions: We reserve the right to restrict, suspend, or terminate User accounts and remove User Content that breaches or violates these Platform Terms and Conditions (including the Platform Publishing Guidelines).   2. Our admissions team will carefully review your profile details to determine your eligibility. If you meet the requirements, you will be offered enrollment or admission into the Program at Glorious Learning Hub’s discretion.
  3. To confirm your enrollment in the Program, you must make the payment of the Program Fee within the specified timelines, if applicable.
  4. By applying for enrollment in this Program, it is understood that you have thoroughly read and understood the eligibility criteria, requirements, and Program details stated on the website.
  5. Once your enrollment or admission process is finalized, it cannot be transferred to another program offered by Glorious Learning Hub. It is exclusively valid for this specific Program.

Refund Policy:

You can request a refund within 7 days of purchase. However, if you’ve accessed over 25% of the course content or completed certain activities, the money-back guarantee will be void. No refunds will be provided beyond the 7-day period.

Conduct and Performance Requirements under this Program:

  1. Participate in live classes and complete self-learning videos based on the certification unlock criteria provided by Glorious Learning Hub during the induction session.
  2. Ensure timely sub unlocks and successful completion of all phase-end projects and tests as per the certification unlock criteria of the program.
  3. Upon enrollment in the Job Oriented Program, you will automatically gain eligibility to access the Career Services offered under this Program.
  4. Stay in regular communication with your assigned Career Services coach/advisor through text/phone calls, at least once a week or as instructed.
  5. Avoid canceling your one-to-one mock interview session within 2 days of the scheduled session.
  6. Keep track of all the activities, such as application confirmation emails, event photos, and registration verifications, using the tracker provided by Glorious Learning Hub or an approved alternate, and present this resource during coaching sessions.
  7. Successfully complete all mandatory mock interviews and training sessions assigned by your Career Services advisors/coach.
  8. Respond to the Career Services team and all correspondence from Glorious Learning Hub within 48 hours of receipt.
  9. Maintain honesty and integrity throughout the application process and the duration of the Program.
  10. Obtain Career Service coach/advisor approval for all Career Artifacts, including Resume, LinkedIn, and Projects profile, during the Career Services Period.
  11. Attend a minimum of 2 events, such as meetups, conferences, seminars, informational interviews, networking events, hackathons, workshops, job fairs, or other approved options, as guided by your Career Service coach/advisor.
  1. Seek guidance from your Career Services coach/advisor and follow their recommendations on your job search strategy, including building your network and applying for suitable job opportunities.

(Note: Timelines for course completion exclude any freeze, pause, or extension granted by Glorious Learning Hub.)

General Term and Conditions:

  1. Your enrollment/admission in this Program assumes that you have read and understood the eligibility criteria, requirements, and Program details mentioned on the website.

Access to the LMS is limited to the Program’s completion period.

The learner acknowledges that no other oral representation by the Glorious Learning Hub team or any third party has been relied upon.

Job Guarantee program:

Definitions:

  1. Digital Certificate of Achievement: This is a digitally verifiable document awarded to the Learner upon successfully completing the Program and meeting all the required prerequisites.
  2. Candidate: Refers to an individual who meets the Eligibility Criteria specified for the Program.
  3. Eligibility Criteria: Refers to the specific requirements that a Candidate must fulfill before applying for the Program.
  4. Learner: Refers to the Candidate who has been admitted/enrolled in the Program based on the admission/enrollment criteria and evaluation process described above.
  5. Program Fee: The total fee payable by the Learner for the selected services within the Program. Applicable taxes are to be paid in addition to the Program Fee.
